TERMS OF SERVICE.

These Terms apply unless a separate written agreement signed by Built By Veterans contains different terms.

A proposal, statement of work, service order, managed services agreement, business associate agreement, quote, or other written agreement may contain additional requirements. If there is a direct conflict, the signed agreement will control for the services addressed in that agreement.

By using our website or services, you represent that:

• You have the legal capacity to enter into a binding agreement.
• You are at least 18 years old.
• You have authority to act for the organization you represent.
• The information you provide is accurate and complete.
• Your use of our website and services complies with applicable law.

We may suspend access or decline service when information provided to us is inaccurate, incomplete, misleading, or unauthorized.

Built By Veterans may provide services including:

• Managed information technology services
• Remote and onsite technical support
• Cybersecurity monitoring and protection
• Endpoint management
• Cloud solutions and cloud backups
• Network and server management
• Microsoft 365 support
• Technology consulting
• Virtual chief information officer services
• Vendor coordination
• Website, portal, or software access
• Other services identified in a proposal, order, or statement of work

The specific services purchased by a customer are determined by the applicable proposal, service order, statement of work, or other written agreement.

Unless expressly included in writing, no service should be understood to include unlimited onsite support, continuous human monitoring, guaranteed prevention of cyberattacks, legal compliance certification, data-recovery guarantees, or support outside the stated service scope.

To allow us to perform our services, you agree to:

• Provide timely access to authorized systems, devices, accounts, facilities, personnel, and vendors.
• Maintain appropriate licenses for software used by your organization.
• Provide accurate contact, billing, technical, and security information.
• Follow reasonable security and technical recommendations.
• Notify us promptly of suspected security incidents, data loss, unauthorized access, or equipment failure.
• Maintain appropriate insurance and internal business-continuity procedures.
• Avoid making unauthorized system changes that interfere with our services.
• Use the services only for lawful business purposes.

We are not responsible for delays or failures caused by incomplete information, denied access, unsupported equipment, expired licenses, third-party systems, customer-controlled changes, or a customer's failure to follow documented recommendations.

Customers agree to pay the fees set forth in the applicable proposal, quote, service order, statement of work, invoice, or other written agreement.

Invoices are due according to the payment terms specified in the applicable agreement or invoice.

Customers are responsible for providing accurate billing information and promptly updating any changes.

Built By Veterans reserves the right to correct administrative or billing errors and issue revised invoices when appropriate.

Fraudulent Payments and Chargebacks

You may not initiate a chargeback or payment dispute based on false information. Before filing a chargeback, contact us to resolve the issue directly. Fraudulent payment activity may constitute a material breach of these Terms.

Cancellation

Request cancellation in writing at info@builtbyveterans.ai. You remain responsible for services performed through the termination date and any outstanding balances.

Backup Services

Where backup services are included, we provide them according to your agreement. No backup solution can guarantee complete recovery under every circumstance. You remain responsible for identifying critical systems requiring protection.

Cybersecurity Services

Cybersecurity services reduce risk but cannot guarantee that you will never experience malware, ransomware, unauthorized access, or data loss. Security outcomes depend on many factors including customer behavior, password practices, multifactor authentication, and employee training.

Third-Party Products and Providers

Our services may use third-party hardware, software, cloud platforms, and service providers. We are not responsible for third-party outages, product defects, security failures, pricing changes, or discontinuation.

You may not use our website, portals, systems, or services to:

• Violate any law or regulation.
• Infringe intellectual-property, privacy, or contractual rights.
• Transmit malware, ransomware, spyware, or destructive code.
• Attempt unauthorized access to accounts, systems, or networks.
• Circumvent authentication, monitoring, security, or access controls.
• Interfere with system availability or operations.
• Send spam, unlawful marketing messages, or fraudulent communications.
• Impersonate another person or organization.
• Reverse engineer or copy protected software.
• Use our services to compete with us through unauthorized copying.
• Engage in conduct that could expose us or our customers to legal or security risk.

We may investigate suspected violations and restrict or terminate access when reasonably necessary.

Accounts and Credentials

You are responsible for protecting usernames, passwords, and credentials. Notify us promptly if credentials are compromised.

Intellectual Property

Our website content, designs, software, and materials are protected by intellectual-property laws. You have a limited right to access and use materials for their intended business purpose.

Customer Content and Data

You retain ownership of your data. You authorize us to access, process, and store customer data as necessary to deliver contracted services, provide support, maintain security, and comply with law.

Privacy

Our Privacy Policy describes how we collect, use, disclose, and protect personal information. Customers with specific regulatory requirements must notify us before providing regulated data.

Electronic Communications

You consent to receive agreements, invoices, notices, and communications electronically.

SMS Communications

When you provide consent, we may send service-related text messages. Reply STOP to discontinue. Message and data rates may apply.

Suspension and Termination

We may suspend or terminate access when accounts are past due, Terms are breached, service creates security or legal risk, or immediate protective action is required.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

Except for warranties expressly stated in a signed agreement, Built By Veterans disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability.

We do not warrant that every security threat will be detected or prevented, every backup will be successful, all data can be restored, third-party services will remain available, or that services will be free from delays or errors.

Limitation of Liability

To the fullest extent permitted by law, Built By Veterans shall not be liable for indirect, incidental, consequential, special, or punitive damages including lost profits, business interruption, or loss of data.

Indemnification

You agree to defend and indemnify Built By Veterans from third-party claims arising from your unlawful use, breach of Terms, violation of rights, or unauthorized content.

Force Majeure

Neither party is responsible for delays caused by circumstances beyond reasonable control including natural disasters, cyberattacks, utility outages, or public-health emergencies.

Governing Law

These Terms are governed by the laws of the State of Wyoming.

Changes to These Terms

We may revise these Terms periodically. The updated version will be identified by a new effective date. Continued use after the effective date constitutes acceptance.

Assignment

You may not assign your rights without our written consent. We may assign these Terms in connection with business transfers.

Severability

If any provision is invalid, it will be modified or severed. Remaining provisions remain effective.

No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

Independent Contractors

The relationship between Built By Veterans and the customer is that of independent contractors.

Entire Agreement

These Terms, together with the Privacy Policy and any applicable signed agreements, constitute the full agreement between the parties.
